The purpose of this letter is to confirm the agreement between ________________________ and Automotive Risk Management & Insurance Services, Inc., with respect to handling of certain confidential, proprietary business information (the "information") we are asking you to provide in connection with our credit evaluation of your insurance program.
Automotive Risk Management & Insurance Services, Inc. hereby agrees as follows:
1. Automotive Risk Management & Insurance Services, Inc. will treat the information as secret and confidential, and will not use the information except for the purpose of evaluating the credit risk of your company, and will not divulge the information at any time without the prior written consent of your company.
2. Automotive Risk Management & Insurance Services, Inc. will limit access to the information to such of its employees, officers, directors, attorneys, accountants, and financial advisors as have a strict need to know the information to evaluate such credit risk.
3. In the event that Automotive Risk Management & Insurance Services, Inc. or any of its representatives becomes legally compelled to disclose any of the information, Automotive Risk Management & Insurance Services, Inc. will provide your company with prompt notice so that your company may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement.
4. This agreement shall not apply to any of the information to the extent that such information:
a. Was known to Automotive Risk Management & Insurance Services, Inc. prior to the date of this letter and was in possession without restriction on its disclosure and was not acquired by Automotive Risk Management & Insurance Services, Inc. directly or indirectly from your company.
b. Is or becomes lawfully part of the public domain by publication by your company or otherwise.
c. Can be shown by Automotive Risk Management & Insurance Services, Inc. to have been lawfully received by Automotive Risk Management & Insurance Services, Inc. from a third party without restriction on its disclosure.
If you agree that this letter accurately states the agreement between Automotive Risk Management & Insurance Services, Inc. and _________________________, please sign the enclosed copy of this letter and return it to me.
